These Terms of Service ("Terms") govern your use of Neur (https://getneur.espectra.io), an online platform for recording a business's money transactions and getting bookkeeping and financial reports. Neur is operated by Espectra LLC, a limited liability company organized under the laws of the State of Wyoming, United States ("Espectra," "we," "us"). By creating an account or using Neur, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use Neur.
1. Who can use Neur
- You must be at least 18 years old and able to enter into a binding contract.
- If you use Neur on behalf of a business, you confirm that you're authorized to accept these Terms for it.
- You're responsible for keeping your sign-up information accurate and your password secure. Tell us right away if you suspect unauthorized access to your account.
2. What Neur does and doesn't do
- Neur organizes the information you enter and generates reports such as the Profit & Loss, Balance Sheet, Cash Flow, General Journal and General Ledger.
- Neur is not a bank or a money transmitter. It doesn't receive or hold your business's money. The money accounts you see in Neur are a record of your real accounts.
- Neur is not an accountant, CPA or tax preparer, and nothing in Neur is accounting, tax, legal or financial advice. Any estimates or alerts are for reference only. Your tax filings and their accuracy are your responsibility and your tax professional's.
- Neur doesn't currently offer payments, payouts or stored-value features. If we add them, they may be provided with licensed partners and will be subject to additional terms that you'll need to accept separately.
- The quality of your reports depends on the information you enter being complete and accurate.
3. Your data
- You own the data you enter. You give us permission to store and process it only to provide the service, as described in the Privacy Policy.
- You can invite other people (for example, your accountant) to view or record information for your business. You're responsible for who you give access to and with what role.
- You can download your reports and ledgers at any time. We recommend doing so regularly.
4. Acceptable use
You agree not to use Neur to:
- break any law, including tax laws, or hide transactions from authorities;
- enter information you know is false or that you don't have the right to share;
- try to access other users' data, disrupt the service, or reverse engineer or scrape the platform;
- resell or provide Neur to third parties without our written permission.
5. Free trial, plans and billing
- Each new business gets a 10-day free trial, with no card required. After the trial, a paid plan is needed to keep recording information. Plans are billed monthly or annually; current plans start at $19 per month. The prices shown in Neur at the time of purchase apply.
- Card payments are processed by our payment processor, Stripe. Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from the Subscription page; you'll keep access until the end of the period you already paid for.
- Prices don't include taxes. Where required, applicable sales tax may be added.
- Payments are non-refundable, except for billing errors on our side or where the law requires a refund.
- We may change prices with at least 30 days' notice. The new price applies from your next renewal.
- If your trial or plan ends, your account becomes view-only: you can still see and download your information, but you can't record new transactions until you subscribe.
6. Service availability and changes
- We work to keep Neur available and your information backed up, but we don't guarantee the service will be uninterrupted or error-free.
- We may improve, change or remove features. If we remove an essential feature of your plan, we'll let you know in advance.
7. Suspension and termination
- You can stop using Neur at any time and delete your account from your account settings.
- We may suspend or close an account that violates these Terms, shows signs of fraud or illegal use, or when required by law.
8. Intellectual property
The Neur name and logo, the software, the design and the platform's content belong to Espectra. These Terms give you a limited, non-exclusive, non-transferable right to use the service; they don't give you any other rights in it.
9. Disclaimer of warranties
NEUR IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT PERMITTED BY LAW, ESPECTRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE EXTENT PERMITTED BY LAW, ESPECTRA WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, TAX PENALTIES OR INTEREST, OR LOSSES ARISING FROM DECISIONS MADE BASED ON THE REPORTS, FROM INCORRECT OR INCOMPLETE DATA, OR FROM SERVICE INTERRUPTIONS. OUR TOTAL LIABILITY TO YOU WON'T EXCEED THE AMOUNT YOU PAID FOR NEUR IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
11. Indemnification
You agree to defend and hold Espectra harmless from claims arising from your use of Neur in violation of these Terms or the law, or from the information you enter.
12. Changes to these Terms
We may update these Terms. If the changes are material, we'll ask you to accept them again when you log in. The date of the last update appears at the top.
13. Governing law and contact
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Before filing any formal claim, we'll both try in good faith to resolve the issue informally. Questions? Write to us at info@espectra.io.
